LotDesk Business Management Platform Agreement
These Terms and Conditions ("Terms") govern your use of the LotDesk mobile application, web dashboard, and related services (the "Service") operated by ABDULLAH AL MORSHED NAYEEM ("we," "us," or "our"), located at Dhaka, Bangladesh. By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using LotDesk in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these terms, you must not access or use the Service.
2. Description of Service
LotDesk is a multi-tenant SaaS (Software as a Service) platform designed for commercial inventory and profit optimization, providing:
- Inventory management with lot-based tracking and supplier traceability.
- Automated FIFO (First In, First Out) cost allocation and unit margin calculation engine.
- Order lifecycle processing (Pending, Processing, Delivered, Returned, Cancelled).
- Damaged stock tracking, return write-offs, and batch cost deductions.
- Commercial reporting, Mushak 9.1 VAT analytics, and financial statements.
- Multi-user organization management with granular role-based permissions (Owner, Manager, Cashier).
3. Account Registration & Security
3.1 Eligibility
You must be at least 13 years of age to register an account. By creating an account, you represent and warrant that you meet this requirement and possess the legal capacity to form a binding contract.
3.2 Account Security & Credentials
- You are responsible for maintaining the confidentiality of your account credentials and passwords.
- You must provide accurate, current, and complete registration information, including a valid mobile phone number.
- Phone number verification via One-Time Password (OTP) is required before account activation.
- You are solely responsible for all activities and transactions that occur under your account.
- You must notify us immediately at lotdeskbd@gmail.com of any unauthorized access or security breach.
3.3 Organization Accounts & Team Members
When you register, an organization is automatically provisioned with you as the primary Owner. You may invite team members as Managers or Cashiers. As Owner, you are legally responsible for all data entries and actions performed by your invited staff.
4. Acceptable Use Policy
You agree to use LotDesk only for lawful business purposes. You must not:
- Use the Service for any unlawful, fraudulent, or unauthorized purpose.
- Attempt to gain unauthorized access to any other organization’s data or server infrastructure.
- Interfere with, overburden, or disrupt the integrity or performance of the Service.
- Upload malicious scripts, viruses, trojans, or destructive code.
- Reverse engineer, decompile, disassemble, or extract source code from the Service.
- Violate applicable commercial, taxation, or consumer protection regulations in Bangladesh or your local jurisdiction.
- Create duplicate automated accounts to circumvent usage limits or abuse free promotional passes.
5. Data Ownership & Content
5.1 Merchant Data Ownership
You retain 100% ownership of all business records, inventory data, customer entries, and financial receipts entered into LotDesk. We do not claim ownership of your intellectual property or commercial records.
5.2 Limited License
By using the Service, you grant LotDesk a worldwide, non-exclusive, royalty-free license to store, process, display, and backup your data solely to provide, maintain, and optimize the Service for your store.
5.3 Data Accuracy
You are solely responsible for ensuring the accuracy of product costs, lot carrying fees, sell prices, and customer balances. LotDesk is not liable for business losses or operational decisions resulting from incorrect manual data entries.
6. Service Tiers & Rewards
6.1 Free Tier
The Free Tier includes core point-of-sale invoicing, stock tracking, and order creation with limits on advanced multi-period audit reporting and unlimited export formats.
6.2 Pro Tier & Rewarded Passes
Pro features provide advanced financial reporting, tax logs, multi-branch operations, and priority support. Merchants may activate Pro access via subscription or by earning points through interactive reward campaigns. Pro passes are time-limited and revert to standard access upon expiration.
6.3 LotDesk Pro Lifetime Access Policy
Any "Lifetime" plan, promotional grant, or lifetime feature pass activated for LotDesk Pro refers to the operational lifespan of the LotDesk platform. Pro lifetime features will remain activated and accessible for as long as LotDesk continues to operate, be maintained, and remain in business. In the event of a permanent closure, cessation of business operations, or service sunset by the company, lifetime access rights will conclude concurrently with the discontinuation of the Service.
6.4 Modifications to Tiers
We reserve the right to modify features available in each tier with reasonable advance notice provided through the platform.
7. Intellectual Property
The LotDesk name, logo, UI/UX designs, algorithms, and software code are the proprietary intellectual property of ABDULLAH AL MORSHED NAYEEM. No part of the platform may be copied, reproduced, distributed, or mirrored without explicit prior written authorization.
8. Account Termination & Deletion
8.1 By You (Merchant)
You can permanently delete your store account at any time via Settings > Danger Zone. Permanent deletion triggers an irreversible wipe of all products, lots, orders, customer balances, and staff profiles from our databases.
8.2 By Us
We reserve the right to suspend or terminate accounts that breach these Terms, engage in fraud, abuse server resources, or attempt malicious penetration of our infrastructure.
9. Service Availability & Disclaimer
We strive for continuous, high-availability uptime, but do not guarantee 100% uninterrupted service. LotDesk is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied.
10. Limitation of Liability
To the maximum extent permitted by applicable law, LotDesk and its operator shall not be liable for any indirect, incidental, punitive, or consequential damages, including loss of business revenue, profit margins, or commercial records. In no event shall our total aggregate liability exceed the actual amount paid by you for the Service in the 12 months preceding the claim.
11. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Bangladesh. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Dhaka, Bangladesh.
